These Terms of Service ("Terms") are an agreement between you and Shruggie LLC, doing business as ShruggieTech ("ShruggieTech", "we", "us") governing your use of ShruggieGraph at graph.shruggie.tech (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The Service

ShruggieGraph is a knowledge platform: it stores content you provide, derives structured knowledge from it, and returns permission-scoped context to you and to tools you connect (for example, AI assistants and applications connected through supported protocols). The Service is currently in a private alpha. Features may change, be added, or be removed as the product develops, and access is provided at our discretion during this period.

Eligibility and Accounts

You must be at least 18 years old to use the Service. You are responsible for your account: keep your credentials confidential, use accurate registration information, and tell us promptly at admin@shruggie.tech if you believe your account has been compromised. You are responsible for activity that occurs under your account.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

Your Content

Ownership. You retain all rights to the content you upload or create in the Service ("Your Content"). These Terms do not transfer ownership of Your Content to us.

License to operate the Service. You grant ShruggieTech a limited, worldwide, non-exclusive license to host, store, process, reproduce, and display Your Content solely as needed to provide, secure, and improve the Service, including processing Your Content with AI models as described in our Privacy Policy. This license ends when Your Content is deleted from the Service, except for residual backup copies that are removed as backups expire and records we must retain for legal or security purposes.

Derived knowledge. The Service extracts structured knowledge from Your Content (facts, events, relationships, and similar records with references to their sources). Within your account, derived knowledge is treated as Your Content.

Your responsibility. You are responsible for Your Content and for having the rights necessary to upload it. Do not upload content you do not have the right to store or share.

Sharing. The Service includes controls for sharing content with other users. You decide what to share. When you share content, you grant the recipients the ability to view it as the sharing controls describe. Sharing respects the sensitivity and visibility settings on your content, but you are responsible for choosing what you share and with whom.

Acceptable Use

You agree not to:

  • Use the Service to store or share content that is unlawful, infringing, or that you do not have the right to possess.
  • Attempt to access accounts, data, or systems you are not authorized to access, or probe, scan, or test the vulnerability of the Service except through any authorized disclosure process.
  • Interfere with or disrupt the Service, including circumventing rate limits, quotas, or access controls.
  • Use the Service to develop or operate anything unlawful, or to harass, harm, or defraud others.
  • Resell or redistribute the hosted Service without our written agreement. (The underlying software is separately available under its open source license; these Terms govern the hosted Service at graph.shruggie.tech.)
  • Use automated means to scrape or bulk-extract data from the Service other than through the interfaces and protocols we provide for that purpose.

We may suspend or terminate accounts that violate these Terms.

AI Processing and Output

The Service uses AI models, including third-party models, to process Your Content into structured knowledge, as described in the Privacy Policy. AI-derived knowledge can contain errors. The Service is designed to preserve references to source material so you can verify derived knowledge, and you should verify before relying on it. The Service provides context and information; it does not provide professional advice, and it is not a substitute for legal, financial, medical, or other professional judgment.

Third-Party Tools and Services

The Service can connect to third-party applications and tools (for example, AI assistants that retrieve context from your account through supported protocols). Those tools are governed by their own terms and privacy policies. When you connect a tool and authorize it, you are instructing the Service to make permitted data available to it. We are not responsible for what third-party tools do with data you authorize them to receive.

Trademarks

ShruggieGraph and ShruggieTech are marks of Shruggie LLC. All other product names, logos, and brands referenced on our website or within the Service — including those of third-party AI tools and assistants we interoperate with — are the property of their respective owners. We display them only to identify the tools ShruggieGraph can connect to. Their use does not imply any affiliation with, sponsorship by, or endorsement by those companies, and ShruggieGraph is not affiliated with or endorsed by them.

Fees

The Service is currently offered without charge during the private alpha. We expect to introduce paid plans in the future. If and when we do, pricing and payment terms will be presented to you, and no charges will apply to your account unless you affirmatively sign up for a paid plan.

Availability, Changes, and Data

The Service is under active development. We do not guarantee uninterrupted availability, and maintenance, updates, or technical issues may make the Service temporarily unavailable. We maintain operational backups, but you are encouraged to keep independent copies of source materials you cannot afford to lose. During the alpha period we will make reasonable efforts to provide notice before any change that would materially reduce your access to Your Content.

Termination

You may stop using the Service and request deletion of your account at any time. We may suspend or terminate your access if you materially violate these Terms, if required by law, or if we discontinue the Service; where practical, we will give you notice and a reasonable opportunity to export Your Content. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and governing law) survive.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DERIVED KNOWLEDGE WILL BE ACCURATE OR COMPLETE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHRUGGIETECH AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (USD $100) OR THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify and hold ShruggieTech harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising out of Your Content, your use of the Service in violation of these Terms, or your violation of law or the rights of a third party.

Governing Law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to its conflict of laws principles. Any dispute arising out of these Terms or the Service will be brought in the state or federal courts located in Tennessee, and you consent to their jurisdiction.

Changes to These Terms

We may update these Terms as the Service evolves. If we make material changes, we will notify you through the Service or by email before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
